These Terms of Service ("Terms") govern your use of keywordmerchant.com and the Amazon seller services provided by Keyword Merchant ("we," "us," or "our"). By using our website or services, you agree to these Terms.
1. Services
Keyword Merchant provides Amazon seller support services, which may include advertising management, inventory and restock planning, sales and profitability reporting, and marketplace operations. The specific scope, fees, and terms of each engagement are set out in a separate agreement between us and the client.
2. Account Access
To provide our services, you grant us access to your Amazon seller and advertising accounts through Amazon's official authorization processes. You may revoke this access at any time. We never request your Amazon account password.
3. Client Responsibilities
You agree to:
Provide accurate information about your business and products
Keep your Amazon accounts in good standing and comply with Amazon's policies
Review and respond to our recommendations in a timely manner
Remain responsible for your products, listings, pricing, and business decisions
4. Approvals and Changes
We make changes to your account only with your approval or within guidelines you've agreed to in advance, such as bid or budget limits. You remain the owner of your Amazon accounts and have final say over all changes.
5. No Guarantee of Results
Amazon's marketplace, algorithms, and advertising auctions are outside our control. While we work to improve your results, we do not guarantee specific outcomes, including sales, rankings, advertising performance, or profitability.
6. Relationship with Amazon
Keyword Merchant is an independent business and is not affiliated with, endorsed by, or sponsored by Amazon. Amazon, Seller Central, and Amazon Ads are trademarks of Amazon.com, Inc. or its affiliates. We are not responsible for Amazon's actions, policy changes, account decisions, or service availability.
7. Confidentiality
We keep your business information and account data confidential and use it only to provide our services, as described in our Privacy Policy.
8. Fees and Payment
Fees for our services are set out in each client's separate agreement. Unless otherwise agreed, you are responsible for all Amazon fees and advertising spend incurred in your accounts.
9. Limitation of Liability
To the fullest extent permitted by law, Keyword Merchant is not liable for any indirect, incidental, or consequential damages, including lost profits or sales, arising from our website or services. Our total liability for any claim is limited to the fees you paid us in the three months before the claim arose.
10. Termination
Either party may end services as described in the client agreement. Upon termination, you may revoke our account access, and we will delete your data as described in our Privacy Policy.
11. Website Use
The content on this website is for general information only and is provided "as is." You may not misuse the website or attempt to interfere with its operation.
12. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.
13. Changes to These Terms
